TNCaB: Tennessee’s Charity and Business Filing System

In mid-February, TNCaB, Tennessee’s Charity and Business Filing System, launched. Instructions for filing Corporate Annual Reports can be found below.

To begin, go to https://tncab.tnsos.gov/. First time users of TNCaB must create an account by going to the right side of the screen and clicking on the blue “Create Account” button. Provide all required information, then complete the instructions in the email sent to you to complete your account registration. Once you have registered your account, go to the box in the middle of the screen that says, “Already have an Account.” Enter your username and password to login. For security purposes, it was implemented that sign in is required every time to view or file documents.

Upon signing in, three new enhanced features can be found that were not previously accessible.

The Tennessee Secretary of State understands that workers get busy, so they have made it possible to save a draft of your filing and return to it later. Draft versions of filings are available for up to fourteen days after creation on the My Filings tab. After drafting and submitting, sometimes filings are not filed, but rejected.

Rather than having to start over, rejected files can be corrected and resubmitted for up to fourteen days after it was rejected. Once a rejected file is accepted, it can be viewed on the “My Completed Filings” tab.

Completed filings can be found on the left-hand side of the screen under “View Documents,” then by clicking on the button for “Completed Filings.” Eliminating the search for old email messages with links to your documents, the “Completed Filings” button provides a link to a PDF document that you can print or save for your records.

On the left-hand side of the page at the bottom, look for “Search,” then click on “Search for existing entity.” Then select what kind of entity you would like to search for, and then search the entity. After searching, hit “Details” on the left side of the screen, and it provides you a screen showing the  pertinent details of the organization like filing status, registered agent, address, initial filing date, fiscal ending month, annual report due date, entity type, state entity was formed in, and number of entity members. Hit the printer icon in the top right to print or save a PDF of the information.

History of changes made on the annual report can be found by clicking on “History,” and that shows the type of report, date of report, tracking number, and change history.

The history of changes in name history can be found by clicking on “Name History,” and that shows the name, type, effective date, and expiration date.

Filing types, you can complete on TNCaB include charity, business, UCC, notary, and MVTL filings.
